Agreement Terms

This consulting contract is made between the client and SAI HR Solutions.

Engagement

SAI HR Solutions commits to providing consulting services as requested by the client. These services are independent and customized to address the specific needs and objectives outlined by the client. Our engagement ensures dedicated support and expert advice tailored to enhance the client’s HR operations and overall business performance.

Terms

The terms of this agreement shall commence on the effective date, as specified in the contract, and shall continue until terminated by mutual, written agreement of the parties involved. This agreement outlines:
- Effective Date: The date when the agreement becomes active.
- Duration: The period during which services will be provided.
- Termination: Conditions under which either party can terminate the agreement, ensuring clear exit strategies and minimal disruption.

Compensation & Payment

As consideration for the services rendered, the client agrees to compensate SAI HR Solutions as per the mutually agreed terms. Payment terms include:
- Invoice Submission: Detailed invoices will be submitted for services rendered.
- Payment Schedule: Payment terms will be outlined, including due dates and acceptable payment methods.
- Late Payments: Policies regarding late payments, including any applicable fees or penalties.
- Additional Costs: Any additional costs incurred, such as materials or third-party services, will be documented and billed accordingly.

Travel

Any travel necessary for the completion of the agreed services must be authorized by the client prior to incurring expenses. This section includes:
- Authorization: Procedures for obtaining pre-approval for travel.
- Expense Coverage: Details on what constitutes reasonable and actual expenses, including transportation, lodging, meals, and incidentals.
- Reimbursement: The process for submitting and approving travel expense claims.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the term of the agreement. This includes:
- Definition of Confidential Information: What is considered confidential and protected.
- Non-Disclosure Obligations: Responsibilities of both parties to protect confidential information.
- Exceptions: Conditions under which confidential information may be disclosed.

Intellectual Property

Any intellectual property developed during the course of this agreement shall be governed by mutually agreed terms. This includes:
- Ownership: Clarification on who retains ownership of any created intellectual property.
- Licensing: Terms under which the client may use the intellectual property.

Dispute Resolution

In the event of any disputes arising from this agreement, both parties agree to engage in mediation or arbitration before pursuing legal action. This section includes:
- Mediation/Arbitration Process: Steps to be taken to resolve disputes.
- Jurisdiction: The legal jurisdiction governing the agreement.

Amendments

Any amendments to this agreement must be made in writing and signed by both parties. This ensures that any changes are documented and agreed upon by both parties.
